**Overview & Responsibilities**
**PRIMARY RESPONSIBILITY:** Manages and administers all executive and equity compensation programs providing analysis, evaluation and modeling of competitive practices and future programs. Ensure programs are in alignment with organization\u2019s goals, numbers on official financial statements are calculated in compliance with the law and filed on time, and transactions flow smoothly.
Advanced knowledge of the application of principles and theories of stock plan administration and executive compensation. Strong Knowledge of global legal regulations affecting stock plans and administration and executive compensation. Proficiency in Microsoft office including Powerpoint. Advanced analytical skillset in Excel with eye for detail and accuracy. Highly organized with the ability to prioritize multiple functions and tasks while managing their work time efficiently. Recognizes opportunities to provide guidance and share expertise with team members. Takes ownership and accountability of tasks to drive results and improve efficiency and effectiveness. Solution orientated with the drive to foresee problems and prevent them from occurring. Strong vendor management and customer support orientation. Ability to learn quickly in a fast paced, ever changing environment. Ability to develop and guide constructive and collaborative working relationships with internal and external stakeholders. Excellent written and oral communication skills.
Administers all executive compensation programs. Evaluates competitive practices, recommends action or programs based on findings.
Performs analysis on the effectiveness and competitiveness of existing programs; models potential impact of alternatives and future programs.
Provides support on executive job evaluations and provides compensation recommendations for both internal and new hire positions.
Provides analytical support for executive compensation programs and prepares materials for review \/ approval of the Executive Committee of the Board of Directors.
Assists with all legal, private company financial documentation.
Remains current on legislative changes relative to plan regulations, procedure changes, how they impact the compensation function and any mandated disclosures.
Develops effective working relationships with various internal and external resources (including legal, corporate finance\/accounting, payroll, tax, benefits, etc. ) to ensure that all actions, plans and programs pertaining to executive compensation comply with internal corporate governance guidelines and external regulatory requirements.
Oversees the annual and quarterly off-cycle long-term incentive planning process (global guidelines, budgets, communication materials, global legal\/regulatory compliance).
Oversees new stock award delivery, tracking and vesting, including on-line award acceptance, in close collaboration with the stock plan service provider (E
Ensures compliance with regulatory and policy requirements and various filings.
Develops themes, prepares and manages Long-Term Incentive communications. Ensures that employee communications provide clear messaging and explanations that support strong perceived value of equity programs.
Manages interface of internal systems with E

Familiarity with private company stock plans, including 701 exemption administration and Blue Sky filing administration.
Ensures that internal controls and procedures are followed to satisfy periodic review of compliance with Sarbanes Oxley.
**SUPERVISION:** Operates with little to no supervision. Review based on independently achieving goals and objectives in an efficient and effective manner. May provide indirect leadership to team members.
**EXPERIENCE\/EDUCATION:** Bachelor's degree required, preferably in Human Resources, Finance, Accounting, Business or a Related Field. Master's degree a plus. Requires 8 years experience in Executive Compensation and Stock Plan Administration at a publicly traded, global organization. Prefer global experience in the technology industry. CEP Preferred. High School Diploma\/GED required.
**PHYSICAL DEMANDS:** General office environment. May require long periods sitting and viewing a computer monitor. Moderate levels of stress may occur at times. No special physical demands required. Occasional travel, less than 10%.
